“Products” include off-the-shelf systems such as ShuleSync, Invoxa, and any future offerings.

“User” refers to any individual or entity accessing or using our services.

By accessing or using our services, you agree to be bound by these Terms & Conditions.

If you do not agree, you must not use our services.

AfriPearl Tech Systems provides:

• Custom software development
• Cloud-based SaaS platforms
• Off-the-shelf software systems
• API integrations and enterprise solutions
• Technical consulting and support services

Users agree to use our services lawfully and responsibly.

• Providing accurate information
• Maintaining account confidentiality
• Not attempting unauthorized access
• Not misusing the system for illegal purposes

Some products operate on subscription or licensing models.

Licenses are non-transferable unless explicitly stated.

Failure to pay subscription fees may result in suspension or termination of access.

Payments may be processed via mobile money, bank transfers, or third-party providers such as Flutterwave or Pesapal.

By making payments, you agree to the terms of the respective payment provider.

AfriPearl Tech Systems does not store sensitive payment details such as card numbers.

• All payments are non-refundable unless stated otherwise
• Transaction fees from providers may apply
• Currency conversion rates may vary

We provide cloud-based data storage and processing.

While we implement industry-standard security measures, no system is completely secure.

• Users are responsible for maintaining backups where necessary
• AfriPearl is not liable for data loss due to unforeseen circumstances
• We may perform maintenance that temporarily affects access

We take reasonable measures to protect user data.

However, users acknowledge risks associated with online systems.

• Encryption and secure protocols are used where applicable
• Access control mechanisms are enforced
• Users must protect their login credentials

All software, designs, and systems developed by AfriPearl Tech Systems remain our intellectual property unless otherwise agreed.

Users are granted limited usage rights under license agreements.

Our systems may integrate with third-party services.

We are not responsible for the performance or policies of such third parties.

AfriPearl Tech Systems shall not be liable for:

• Loss of data, revenue, or profits
• Service interruptions beyond our control
• Security breaches caused by third-party systems
• Indirect or consequential damages

We strive for high uptime but do not guarantee uninterrupted service.

Maintenance, upgrades, or unforeseen issues may cause downtime.

We reserve the right to suspend or terminate accounts that violate these terms.

Users may terminate their use of services at any time.

We may update these Terms & Conditions from time to time.

Continued use of our services constitutes acceptance of the updated terms.

These Terms shall be governed by the laws of Uganda.

Any disputes shall be resolved in courts within Uganda.
